RULES AND CONDITIONS FOR PARTICIPATION IN THE "10 Mer 2026 sweatshirts" DRAW

1. COMPANY ORGANIZING THE PROMOTION

This draw is organized by NOON SPAIN, SL (hereinafter, Noon Spain, SL , the Company or the Organizer ), with Tax Identification Number: B-90.248.147 and registered office for notification purposes in Seville, at Calle José Delgado Brackenbury, nº 9 Edificio Galia Puerto nº 2, Postal Code: 41.011; with contact telephone number: 954 96 79 38 and email address: comunicacion@noonspain.es

2. PURPOSE OF THE PROMOTION

2.1. Noon Spain SL will carry out the draw called "10 Mer 2026 sweatshirts" (hereinafter, the PROMOTION ) and which will take place on the Instagram account of @noonspain, in accordance with the provisions of these terms and conditions.

2.2. The purpose of this draw is to reward the loyalty of the brand's followers and its social networks.

3. TERRITORIAL AND TEMPORAL SCOPE OF THE PROMOTION

3.1. The Promotion will be carried out within the Spanish territory (peninsula, Balearic Islands, Ceuta and Melilla), excluding the Canary Islands, and will be exclusive to users residing in Spain, in accordance with the provisions of the participation requirements section.

3.2. The Promotion will take place on February 16, 2026. The participation period will begin at 2:30 p.m. (peninsular time) on that day, with the publication of the promotion, and will end on February 18, 2026 at midnight (peninsular time). If the publication of the promotion takes place after 2:00 p.m., the promotional period will be extended by the number of minutes that have elapsed between that time and the publication.

3.3. Cancellation or Modification. The Company reserves the right to cancel the promotion if, after 90 minutes from publication, no more than three hundred (300) comments from different users have been registered.

4. REQUIREMENTS AND HOW TO PARTICIPATE

4.1. Be a resident of Spain and over 14 years of age. However, participants under 18 years of age may not participate in the promotion or request any prize without the authorization or consent of their parent, guardian, or legal representative. In any case, when the winner is a minor, the authorization or consent of the parent, guardian, or legal representative must be in writing and presented to the organizing company at the time of requesting the prize or any other product that has been raffled or promoted.

Failure to provide the necessary authorization or consent, as per the preceding paragraph, will result in the cancellation of the entry and the automatic forfeiture of any prize won. Furthermore, the authorization or consent of the holder of parental authority, guardian, or legal representative of the minor will be required for any other legal acts or transactions necessary for the use or enjoyment of the prize.

Noon Spain, SL is not responsible for the enjoyment or use of the prize or other products that have been raffled or promoted and delivered when the minor has the authorization or consent of the holder of parental authority, guardian, or legal representative. Nor will it be responsible in the event of fraud, error, or vitiation of consent for obtaining and enjoying the prize or other products that have been raffled or promoted.

4.2. Participate in the contest through a real, active, and personal Instagram account belonging to the participant, which cannot be considered to have been created solely for the purpose of participating in the Promotion. Only accounts that meet the following characteristics will be considered valid for participation:

• The user must have a profile picture designated by themselves (it does not have to be a personal photo).
• You must have at least one photo/post published on your profile since its creation.

An account will be considered to have been created with the sole intention of participating in the promotion when it has been opened after the publication of the promotion and does not meet the stated requirements.

4.3. Participation must be from a single account. Participation from multiple Instagram accounts will result in exclusion from the draw.

4.4. To enter, you must follow the @noonspain account and comment on the post, tagging a friend. Each participant may comment on the post as many times as they wish, provided they meet the account validity requirements outlined above. Each entry/comment will count towards the prize draw.

4.5. Each participant may only obtain ONE prize from those mentioned in Condition 6, regardless of whether they participate with one account or several, or whether they participate several times in the Promotion.

4.6. Exclusion. The participant will be excluded from the promotion and the prize draw for the following reasons:

a) Participation through comments or opinions whose content is considered inappropriate, offensive, defamatory, discriminatory, or of a similar nature, and also those that could constitute any infringement of the rights of the brand or third parties. Particularly those that violate the principles of the right to honor, personal and family privacy, and one's own image. The participant will be excluded even with a single comment/participation that violates the above.

b) Participation through comments that violate Instagram's terms and conditions for posting on the platform (Instagram Community Guidelines or Instagram Terms of Use).

c) Participation through multiple profiles or accounts by the same person, or the use of fraudulent means such as the use of bots or other automated or mass commenting tools.

d) Any other breach of these terms of participation in the draw.

e) Any other cause of exclusion provided for in these terms.

If a breach is detected after the prize has been delivered, the company may claim the return of the prize or, failing that, compensation up to the amount of the value indicated for each prize, without prejudice to the claim for damages caused.

5. FREE PARTICIPATION

Participation in the draw will not require any prior payment from participants. It will be free.

6. PROMOTION MECHANICS AND PRIZES

6.1. The winners will be chosen randomly, through the App Sorteos platform.

6.2. Winners will be notified in the comments section of the giveaway post, via the Noon brand profile, @noonspain. The post will include a mention of the winner's Instagram profile (@…).

6.3. The dynamics of the promotion, the holding of the draw and the prizes will be carried out as follows:

a) 10 "Mer 2026 Sweatshirt" prizes, the winner will choose their corresponding size.
b) Any prize other than the "Mer 2026 Sweatshirt" is expressly excluded from this award.

A draw will be held from the start of the participation period, with ten "Mer 2026 Sweatshirts" as prizes. Each prize will be valued at less than €45. Notification will be made on February 19th, as outlined in section 6.2. In the event of unforeseen circumstances or non-compliance, the organizing company will only be liable to the winning participant up to the value of the prize as stated above.

6.4. The prize obtained will not be exchangeable for cash or any other prize, nor can it be changed or altered at the customer's will.

6.5. The organizing company will cover the shipping costs once only to the address indicated by the winner, as specified in section 7.1. If the winner resides in the Canary Islands or another territory outside of mainland Spain (Peninsula, Balearic Islands, Ceuta, and Melilla), they must cover the shipping costs necessary to receive the prize at the indicated address. Otherwise, they will be considered to have forfeited the prize.

6.6. The awarding of the aforementioned prizes is subject to compliance with the tax obligations in force at the time they are received. Where applicable, the company may require the winner to provide sufficient personal information to fulfill its tax obligations. If the winner refuses to provide such information, it will be understood that they have waived the prize.

6.7. The organizing company will not be responsible for the impossibility of delivery or enjoyment of the prize when it has been obtained in breach of the provisions of these terms and conditions, including the terms of delivery and shipments.

6.8. Participation in the draw implies acceptance and submission to the terms of participation set out in these legal terms, including acceptance of the communication of the prize through the Noon brand profile, @noonspain, under the terms expressed in point 6.2.

7. NOTIFICATION TO THE WINNERS

Once the communication has been made in the terms indicated in point 6.2., the winner must contact the company, through Instagram direct message or the email address comunicacion@noonspain.es , within seven (7) days, stating the following:

• That he/she expressly accepts the announced prize and the terms and conditions for its delivery provided for in these rules.

Failure to accept the prize and the terms and conditions for its delivery constitutes a waiver. If this is not stated in the reply message, Noon Spain, SL may require the winner to clarify this matter within the aforementioned timeframe.

• For the purposes set out in Condition 9 of these rules, you must provide a photograph in which only the prize winner appears and which complies with Instagram's terms and conditions for publication; or, otherwise, expressly authorize Noon Spain, SL to use the photograph that appears on your profile, under the terms set out in these rules.

Failure to comply with this requirement will result in forfeiture of the prize and exclusion from the draw. If this is not stated in the reply message, Noon Spain, SL may request the winner to clarify this matter within the aforementioned timeframe.

• When necessary for the management of the delivery of the prize, provide a copy of your national identity document (DNI) or equivalent title for foreign persons residing in Spain, in order to obtain the following personal data: Name and surnames, DNI and age.

In the case of minors, it will also be necessary to provide authorization and a copy of the ID/NIE of the legal representative, guardian or holder of parental authority.

• Provide an address within the territory of the Spanish State (Peninsula, Ceuta, Melilla, Balearic Islands and Canary Islands) to which the Noon clothing pack constituting the prize will be sent; a contact email address and mobile phone number.

If within the indicated period the prize winner or, where applicable, the alternate, does not respond to the communication made by Noon Spain, SL, it will be understood that they withdraw from the draw, and the prize will be declared void.

8. RESERVATIONS AND LIMITATIONS

8.1. Noon Spain SL, as well as the organizing and collaborating companies in the promotion, are exempt from all liability in case of malfunction of electronic communication networks that prevent the normal development of the promotion due to causes beyond their control and especially due to external acts of bad faith.

8.2. Any abusive or fraudulent use by users will result in the participant's disqualification from the Promotion. If such misuse of the application (with or without intent to defraud) causes it to malfunction, Noon Spain SL, as well as the organizing and collaborating companies, will be exempt from all liability and may cancel the promotion.

8.3. Similarly, it will be understood, by way of example but not limitation, that abuse or fraud occurs when a participant participates in the promotion using a false account or third-party identities without their consent.

8.4. Noon Spain SL, as well as the organizing and collaborating companies, are not responsible for possible losses, damages, delays or any other circumstance attributable to third parties that may affect participation in this Promotion.

8.5. Noon Spain SL, as well as the organizing and collaborating companies, are not responsible for any inappropriate or offensive content that users may upload at their own risk.

8.6. The discovery of any of these circumstances during the Promotion will result in automatic disqualification and prohibition from participating in the draw, as well as the loss of the prize if it has been awarded.

8.7. Noon Spain SL, as well as the organizing and collaborating companies, are exempt from any responsibility in the event of any error in the data provided by the participants themselves that prevents their identification.

8.8. The awarding of the Prize is personal and non-transferable. The prizes are subject to these terms and conditions and cannot be exchanged, in whole or in part, for cash. The prizes are not subject to change, alteration, or compensation at the winner's request. If the winner declines the prize, no alternative will be offered. The sale or transfer of the prize is strictly prohibited.

8.9. Providing the winners' personal data is mandatory for the administration of the Prize. Any false communication of personal data will entitle the organizers of this draw to disqualify the winner and dispose of the corresponding prize, under the terms expressed herein.

8.10. Noon Spain, as well as the organizing and collaborating companies, reserve the right to make changes that contribute to the successful completion of the draw when there is a just cause or force majeure that prevents it from being carried out in the manner described in these terms and conditions.

8.11. That Instagram is fully exonerated from any liability arising from this raffle on the part of each participant.

8.12. The winner is responsible for obtaining any necessary permits or consents for the enjoyment of the prize and for any incidents that may occur during its use. Likewise, Noon Spain, SL will not be liable for any damages, whether personal or financial, suffered by the winners as a result of enjoying the prize, including compensation of any kind, expenses, and costs (expressly including attorney's and legal representatives' fees).

8.13. Noon Spain, SL is expressly authorized to postpone, shorten, extend, modify, cancel, or suspend the prize draw due to force majeure events beyond its control, and undertakes to inform participants of this circumstance as soon as possible. Likewise, Noon Spain, SL is expressly authorized to resolve any unforeseen contingency not covered by these terms and conditions, provided that it does not entail a substantial change to the terms and conditions of the prize draw, diminish the rights of consumers and users, or violate regulations regarding the protection of personal data.

9. ASSIGNMENT OF IMAGE RIGHTS AND/OR INTELLECTUAL PROPERTY

9.1. Acceptance of the prize, under the terms expressed in Condition 7.1., will entail the AUTHORIZATION to Noon Spain, SL by the winner to reproduce, use and disseminate their username, account and content made in relation to the sweatshirt, in any advertising and/or promotional activity related to this promotion, all in any medium (including, but not limited to, exploitation through the Internet and Social Networks) without such activities conferring any right to remuneration or benefit, without prejudice to the delivery of the prize obtained in accordance with these terms.

9.2. Failure to provide the authorization referred to in Condition 9.1 will result in the waiver of the prize obtained and exclusion from the draw, proceeding in accordance with the provisions of Condition 7.1.

10. PROCESSING OF PERSONAL DATA

10.1. The personal information provided by participants and prize winners will be treated in accordance with the highest standards of confidentiality and in compliance with the provisions of Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data and repealing Directive 95/46/EC (General Data Protection Regulation) and Organic Law 3/2018 of 5 December on the Protection of Personal Data and Guarantee of Digital Rights.

Noon Spain, SL will be responsible for processing this information. For this purpose, it will be incorporated into the Register of Processing Activities held by Noon Spain, SL for processing related to participation in this prize draw, as well as for contacting the winners and alternates.

10.2. Terms of use of personal data:

Purpose of processing personal data. The collection and processing of personal data has the following purpose:

- Manage the PROMOTION regulated in these terms and conditions.
- The delivery and acceptance of the prize by the participants and prize winners.
- The shipment of the prize packs.

The personal data collected and processed are the data necessary for sending the packs and delivering the prizes drawn: name / surname / full home address / email address / telephone number.

Recipients: Access to personal data and information collected in the context of the organization and holding of the draw will only be granted to a specific number of duly identified persons, without prejudice to its possible transmission to the bodies and entities in charge of the tasks of monitoring, control or inspection of compliance with the obligations derived from the organization of this draw.

Data retention: The data controller will only retain the data when it is necessary to carry out follow-up actions regarding the act, taking into account the purpose of the processing of personal data.

The user may exercise the rights of access, rectification, erasure and other rights that can be consulted in the additional and detailed information in our privacy policy by contacting the data controller at the indicated email address.

11. ACCEPTANCE OF TERMS

11.1. Without prejudice to the provisions of Condition 8 and the rest of the conditions contained in these terms and conditions, participation in the promotion implies the express and unreserved acceptance of these terms and conditions.

11.2. Failure to comply with any of these rules by the participant will result in their immediate disqualification from the draw, and they will not be able to participate in the PROMOTION by any other means.

12. APPLICABLE LAW AND JURISDICTION

12.1. These Promotion Terms and Conditions are governed by Spanish law. The Courts of the city of Seville shall have jurisdiction to resolve any claim or dispute that may arise in relation to the validity, interpretation or fulfillment of these terms and conditions.

12.2. If any clause or part of a clause of these terms and conditions is declared null, illegal or unenforceable, such clause or part thereof shall be deemed not to have been included in these terms and conditions, without affecting the validity, legality or enforceability of the remaining conditions contained herein.
